Terms of Service

Effective date: 1 October 2026

1. Introduction and acceptance of the Terms

1.1. These Terms of Service (the “Terms”) are a legally binding agreement between you (the “User”) and the operator of the Pereviz.Net platform identified in Section 15 (the “Provider”). They govern access to and use of the websites Pereviz.Net and VanMove.net and their subdomains, the courier workspace, the customer portal, their mobile and offline versions, application programming interfaces and all related services (together, the “Service”). Pereviz.Net and VanMove.net are two names of the same Service provided by the Provider; these Terms apply in the same way whichever of these websites and names is used.

1.2. These Terms are a public offer within the meaning of Articles 633 and 641 of the Civil Code of Ukraine. By signing in to the Service, creating or joining a company workspace, or otherwise accessing or using any part of the Service, you accept these Terms in full and without reservation in accordance with Article 642 of the Civil Code of Ukraine and the Law of Ukraine “On Electronic Commerce”. Such acceptance has the same legal force as a written agreement signed by the parties. If you do not agree with these Terms, you must not access or use the Service.

1.3. The Privacy Policy forms an integral part of these Terms. By accepting these Terms, you confirm that you have read the Privacy Policy.

1.4. If you use the Service on behalf of a company, an individual entrepreneur or another organisation, you represent and warrant that you are authorised to bind it to these Terms. In that case, “User” refers to that organisation, which is responsible for every action taken through the accounts of its staff.

2. Eligibility and account registration

2.1. The Service is intended for independent couriers, last-mile delivery drivers, self-employed courier contractors, carriers and their staff (“Couriers”), and for their customers who use the customer portal to send and track parcels (“Customers”). You may use the Service only if you are at least 18 years old, have full legal capacity to enter into binding contracts and are not barred from receiving the Service under applicable law or under Section 5.

2.2. Accounts are created and accessed exclusively through Google Sign-In (OAuth 2.0). When you sign in, Google confirms your identity and passes the email address of your Google account to the Provider. The Provider never receives or stores your Google password. You are solely responsible for keeping your Google account and the devices you use to access the Service secure, and every action taken through your account is deemed to be taken by you.

2.3. A User who creates a company workspace becomes its administrator. The administrator decides who may access the workspace and with which role, is responsible for all accounts it creates or authorises and for every action of its staff in the Service, and must promptly revoke the access of any person who no longer acts for the Courier.

2.4. You must provide accurate, current and complete information about yourself and your business and keep it up to date. Where the Service or any part of it is provided against payment, you must provide accurate, complete and valid billing information through the payment gateway used by the Provider. The Provider may suspend an account whose information is inaccurate, incomplete or misleading.

2.5. You must notify the Provider without delay, using the contact details in Section 15, if you suspect unauthorised access to your account.

3. Nature of the Service

3.1. The Service is a general-purpose, mass-market software tool provided on a software-as-a-service basis. It helps Users organise and administer local and cross-border parcel deliveries: keep sender and recipient details, addresses and coordinates, plan routes, trips and runs, record and update parcel statuses, communicate with Customers and keep the related records. The Service is an address management and logistics-organising tool and nothing more.

3.2. The Provider does not provide and is not involved in transport, carriage of goods, courier, postal, freight forwarding, warehousing, customs brokerage, customs clearance, customs representation or any other logistics services. The Provider is not a carrier, freight forwarder, postal operator, agent or intermediary, does not take possession, custody or control of any parcel, and is not a party to any contract between a Courier and its Customers, senders or recipients. Each Courier alone decides whether, how, when, at what price and on what conditions it carries any parcel, and bears sole responsibility for each delivery.

3.3. The Service is not intended for heavy freight, bulk or commercial cargo transport, or for preparing, submitting or managing customs declarations or any other customs formalities. Information recorded in the Service, including the country of origin and the country of destination, is entered by the User for its own organisational purposes and is not a customs declaration or any other document required by customs or tax authorities.

3.4. Amounts collected from Customers and other payment marks recorded in the Service are informational entries made by the User. The Service does not receive, hold, transfer or settle any funds between Couriers and their Customers.

3.5. The Service relies on third-party services, including Google (sign-in, maps and route building), Telegram (notifications), browser push services (notifications) and Nova Poshta (waybills and lists of branches). Where a User requests a shipment or a waybill from a third-party postal or courier operator through the Service, the contract for that shipment is concluded directly between the User and that operator on the operator's terms; the Provider only transmits the User's request. Data transmitted with such a request, including to Nova Poshta, is processed by that operator as an independent controller under its own terms and privacy policy and may be kept by it for as long as its own rules and the law applicable to it provide. The Provider does not control, and is not responsible for, the storage, use, disclosure or deletion of such data by the operator; the automatic deletion under Section 6 does not apply to it. Routes, distances, travel times, addresses and other data obtained from third-party services are approximate and provided for convenience only. The User remains solely responsible for checking them and for complying with traffic, road, working-time and other rules.

3.6. The Service may store data on the User's devices so that it can be used offline. The User is responsible for securing such devices and the data stored on them.

4. User licensing and regulatory compliance

4.1. The Provider does not check, verify, monitor or confirm, and accepts no responsibility for, whether any User holds the licences, permits, registrations, certificates or insurance required for its activities. In particular, the Provider does not verify:

  • transport operator licences and permits, including licences for the international carriage of goods (for example, operator authorisations and Community licences under Regulations (EC) No 1071/2009 and No 1072/2009 as amended by Regulation (EU) 2020/1055, and operator's licences under the UK Goods Vehicles (Licensing of Operators) Act 1995), bilateral and multilateral transport permits, and licences and registrations required by the law of Ukraine;
  • registration as a courier or postal operator, where required;
  • vehicle registration and roadworthiness, driving licences, and compliance with driving-time, rest-period and tachograph rules;
  • motor, goods-in-transit, cargo liability or any other insurance;
  • customs authorisations, customs representation rights, and tax, VAT or excise registrations.

4.2. Obtaining, maintaining and complying with all such licences, permits, registrations and insurance, including local and international operator licences for cross-border transit, is the sole responsibility of the User, at the User's own expense.

4.3. The User is solely responsible for complying with all laws and regulations that apply to its activities, including those on transport and road traffic, postal and courier services, customs, foreign trade, currency control, taxation, consumer protection, personal data protection and sanctions. The User alone is responsible for the lawful declaration and clearance of any goods that cross a customs border, for paying all customs duties, taxes and charges, and for making sure that the goods it carries are not prohibited or restricted.

4.4. Nothing in the Service, its documentation or the Provider's communications is legal, tax, customs or regulatory advice.

5. Acceptable use and sanctions warranty

5.1. The User shall not use the Service, directly or indirectly, to plan, organise, record, facilitate or conceal any unlawful activity, including:

  • smuggling, that is, moving goods across a customs border outside customs control or concealing them from customs control;
  • carrying narcotic drugs, psychotropic substances or their precursors, weapons, ammunition, explosives, counterfeit or stolen goods, cultural property, or any other goods whose carriage, import or export is prohibited or restricted, without the required authorisations;
  • carrying undeclared or misdeclared commercial goods, including splitting commercial consignments into parcels presented as personal items, or any other arrangement designed to evade customs duties, taxes, excise, quotas or import or export restrictions;
  • carrying dangerous goods in breach of the applicable rules, including the ADR Agreement;
  • money laundering, terrorist financing, fraud, human trafficking or any other criminal offence;
  • infringing the intellectual property, privacy or other rights of any person.

5.2. The User shall not: (a) access the Service other than through the interfaces provided by the Provider; (b) circumvent, disable or probe the security or access controls of the Service; (c) copy, decompile, reverse engineer or create derivative works of the Service, except where the law expressly allows it; (d) introduce malware into the Service or place an unreasonable load on it; (e) scrape or harvest data from the Service; (f) resell, sublicense or provide access to the Service to anyone other than its own staff and Customers; (g) enter special categories of personal data (such as health data) or data unrelated to deliveries; (h) use the Service, or any information obtained through it, to design, build or assist in building a product or service that competes with the Service, or copy its functions, workflows, user interface or look and feel for that purpose; (i) access the Service for benchmarking or competitive analysis without the Provider's prior written consent.

5.3. Sanctions warranty. The User represents and warrants, on the date it accepts these Terms and for as long as it uses the Service, that neither the User nor any of its owners, managers or staff, nor any person on whose behalf it acts:

  • is designated on, or is owned 50% or more or controlled by one or more persons designated on, any sanctions list maintained by Ukraine (including sanctions under the Law of Ukraine “On Sanctions” and decisions of the National Security and Defense Council of Ukraine), the European Union or its member states, the United Kingdom (including the UK Sanctions List), the United States (including the Specially Designated Nationals and Blocked Persons List of OFAC) or the United Nations Security Council (together, “Sanctions”);
  • is located, incorporated or ordinarily resident in, or acts for a person located in, a country or territory in respect of which providing the Service is prohibited or restricted by Sanctions or by the law of Ukraine, including the Russian Federation, the Republic of Belarus and the temporarily occupied territories of Ukraine.

5.4. The User shall not use the Service to carry goods for, to or from, or otherwise to facilitate any transaction with or for the benefit of, any person, country or territory referred to in clause 5.3. The User is solely responsible for screening its Customers, counterparties and consignments against Sanctions; the Provider performs no such screening on the User's behalf.

5.5. The User shall notify the Provider immediately if any representation in this Section becomes untrue.

5.6. The Provider does not monitor or review User Data, except where needed to provide technical support at the User's request, to protect the security of the Service or to comply with a decision referred to in this clause. The Provider strictly complies with the applicable law of Ukraine and discloses information to public authorities only on the basis of an official, lawful and legally binding court decision or another decision that is binding on the Provider under the law, in the manner described in the Privacy Policy, and only if such a decision is received before the data is deleted automatically under Section 6.

6. Automatic data deletion

6.1. For system optimisation and for the protection of privacy, the Service automatically, permanently and irreversibly deletes all data relating to a parcel 7 days after the status of that parcel is changed to “Delivered”. The deletion covers the names, phone numbers, email addresses, postal addresses and geographic coordinates of senders and recipients, notes, photos and files, messages exchanged about the parcel, and the full status and tracking history of the parcel (together, “Shipment Data”).

6.2. Technical system logs are rotated daily and kept for 30 days. The logs, including the full requests transmitted to carriers such as Nova Poshta, may contain parts of Shipment Data.

6.3. Deleted data cannot be restored by the Provider or by anyone else. Before the deletion takes effect, the User is solely responsible for keeping, outside the Service and in compliance with the law, any information it needs for accounting, tax, customs, insurance, evidential or other purposes. The Provider is not liable for any loss resulting from the deletion of data under this Section.

6.4. Copies of Shipment Data stored on a User's device for offline work are removed by the Service at that device's next synchronisation after the deletion and when the User signs out on that device. Changes not yet sent to the Service are discarded when the User signs out, after a warning. A device that never reconnects to the Service keeps its copy. Data exported, copied or printed by the User, and data transmitted to third parties under clause 3.5, such as Nova Poshta or Telegram, are not covered by the automatic deletion and are the sole responsibility of the User and of those third parties.

6.5. If, before the deletion takes place, the Provider receives a legally binding order of a competent authority requiring specific data to be preserved, the Provider may suspend the deletion of that data to the extent and for the time the order requires.

6.6. Data other than Shipment Data, such as account and billing records, is kept in accordance with the Privacy Policy.

7. Personal data

7.1. For Shipment Data and other personal data that the User enters about its Customers, senders, recipients and staff, the User is the controller (owner of personal data) and the Provider is the processor (manager of personal data) acting on the User's behalf. For the personal data of account holders, billing data and technical data, the Provider is the controller. Details are set out in the Privacy Policy.

7.2. The User warrants that it has a lawful basis for entering personal data into the Service and for the processing carried out through it, that it has given data subjects all the information required by law, including information about the Service and the automatic deletion under Section 6, and that it enters only the data needed to organise deliveries.

7.3. When acting as a processor, the Provider shall:

  • process personal data only on the documented instructions of the User, which are given by these Terms and by the User's use of the functions of the Service, unless the law requires otherwise;
  • ensure that persons authorised to process the personal data are bound by confidentiality;
  • apply appropriate technical and organisational security measures, including the automatic deletion under Section 6;
  • engage only the sub-processors named in the Privacy Policy, to which the User gives its general authorisation, and inform the User of any changes by updating the Privacy Policy;
  • assist the User, taking into account the nature of the processing and the information available to the Provider, in responding to requests of data subjects and in meeting its obligations on security, breach notification and data protection impact assessments;
  • notify the User without undue delay after becoming aware of a personal data breach affecting the User's data;
  • delete the personal data in accordance with Section 6 and upon termination of the User's account;
  • make available to the User the information reasonably necessary to demonstrate compliance with this clause, and contribute to audits by the User or its auditor at the User's expense, upon at least 30 days' written notice and not more than once a year.

7.4. This Section is the data processing agreement between the User and the Provider for the purposes of Article 28 of the GDPR, the UK GDPR and the Law of Ukraine “On Personal Data Protection”. Where the law requires additional safeguards for transfers of personal data from the European Economic Area or the United Kingdom, the Provider will, at the User's request, enter into the standard contractual clauses approved by the European Commission or the corresponding UK instrument.

8. Fees and payments

8.1. Some functions of the Service are provided against payment. The applicable tariffs, the billing model (for example, a charge per parcel debited from the prepaid balance of the company workspace, or a subscription plan) and the payment terms are shown in the Service.

8.2. Payments are made in euro (EUR) through third-party payment service providers (for example, Payoneer or Stripe) under their own terms. Currency conversion, bank and transfer fees are borne by the User. Prices do not include taxes unless stated otherwise; any taxes payable by the User under the law of its country are borne by the User.

8.3. A prepaid balance is not a deposit or electronic money, bears no interest and cannot be transferred to another User. Promotional credits, such as a sign-up bonus, have no cash value and may be withdrawn or expire. Except where mandatory law provides otherwise, payments are non-refundable.

8.4. The Provider may change its tariffs by publishing the new tariffs in the Service at least 14 days before they take effect. Continued use of paid functions after that date means acceptance of the new tariffs.

8.5. If the balance is exhausted or a payment is overdue, the Provider may restrict access to paid functions until payment is made.

9. Intellectual property

9.1. The Service, including its software, design, texts, logos and trademarks, belongs to the Provider or its licensors and is protected by intellectual property law. Subject to these Terms, the Provider grants the User a limited, non-exclusive, non-transferable, non-sublicensable and revocable right to access and use the Service for the User's own business purposes while these Terms are in force. No other rights are granted.

9.2. The User keeps its rights to the data it enters into the Service (“User Data”) and grants the Provider a worldwide, non-exclusive, royalty-free licence to host, store, process, transmit and display User Data solely to provide, secure and maintain the Service and to comply with the law.

9.3. “Feedback” means any suggestions, ideas, feature requests, descriptions of needs, workflows or business processes, comments and other information about the Service or its possible improvements that the User or its staff provide to the Provider in any form, including in calls, meetings, demonstrations, messages and support requests. Feedback is provided voluntarily and is not confidential. The Provider may use, implement, modify and commercialise Feedback freely, without restriction, attribution or compensation, and may make any resulting functions available to all users of the Service. The User acquires no rights in the Service, or in any function, improvement or modification of it, by reason of having provided Feedback or requested a function. This clause does not apply to User Data or to Confidential Information under clause 9.6.

9.4. The Provider may compile and use aggregated statistical information that does not identify any individual or User, including after the underlying data has been deleted.

9.5. All functions, improvements and modifications of the Service, including those developed at the request of, for or in cooperation with a particular User, belong exclusively to the Provider, form part of the Service and may be made available to other users, unless the Provider has expressly agreed otherwise in a separate written agreement signed before the development begins. Settings, reference lists, templates and other configuration entered by the User form part of User Data.

9.6. The Provider shall keep confidential and shall not disclose to third parties non-public information about the User's business that the User identifies as confidential or that is confidential by its nature, including its prices, volumes, customer lists and staff (“Confidential Information”), except as needed to provide the Service, under clause 5.6 or as required by law. Confidential Information does not include Feedback, or information that is or becomes public through no fault of the Provider, was already known to the Provider, or is developed independently by the Provider. Nothing in these Terms restricts the Provider from using general knowledge, skills, experience, ideas, concepts and techniques, including those relating to logistics and delivery processes, in developing and providing the Service.

10. Limitation of liability and indemnification

10.1. The Service is provided “as is” and “as available”, with all faults. To the maximum extent permitted by law, the Provider disclaims all warranties and conditions, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement, and any warranty that the Service will be uninterrupted, timely, secure, error-free or free of harmful components, or that any data will be preserved.

10.2. To the maximum extent permitted by law, the Provider is not liable for:

  • fines, penalties, customs duties, taxes, surcharges or other sanctions imposed on the User or any other person;
  • detention, impoundment, seizure or confiscation of vehicles, goods or parcels, including customs seizures;
  • criminal, administrative, customs or tax investigations or proceedings against the User or any other person, and their consequences;
  • loss, theft, damage, delay or non-delivery of any parcel or goods;
  • loss of profits, revenue, business, contracts, goodwill or anticipated savings, and any indirect, incidental, special, consequential, exemplary or punitive damages;
  • loss or corruption of data, including data deleted under Section 6;
  • acts and omissions of Users, their staff, Customers, senders and recipients, and of third-party services, including Google, Telegram, browser push services, Nova Poshta, payment service providers and hosting providers;
  • unavailability of the Service caused by maintenance, failures of networks, power supply or third-party services, or other circumstances beyond the Provider's reasonable control.

10.3. To the maximum extent permitted by law, the total aggregate liability of the Provider arising out of or in connection with these Terms and the Service shall not exceed the amount actually paid by the User to the Provider for the Service in the three (3) months preceding the event that gave rise to the liability.

10.4. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for an intentional breach of obligations (Article 614 of the Civil Code of Ukraine), or the mandatory rights of consumers.

10.5. Indemnification. The User shall defend, indemnify and hold harmless the Provider and its owners, employees, contractors and agents from and against all claims, demands, proceedings, fines, penalties, losses, damages, liabilities, costs and expenses (including reasonable legal fees) brought by third parties or imposed by any governmental, customs, tax, law enforcement or other authority, arising out of or in connection with: (a) the User's use of the Service; (b) deliveries carried out or organised by the User and the goods carried; (c) User Data and the User's processing of personal data; (d) any breach by the User of these Terms, of applicable law or of the rights of third parties. The Provider may control the defence of any such claim, and the User shall cooperate at its own expense.

10.6. The User acknowledges that the limitations in this Section are a fair allocation of risk and an essential basis of the Provider's decision to offer the Service at the applicable prices.

11. Suspension and termination

11.1. The User may stop using the Service at any time and may request the deletion of its account using the contact details in Section 15.

11.2. The Provider may, immediately, without prior notice and without refund, suspend or terminate the User's access to the Service, in whole or in part, if: (a) the Provider suspects, on reasonable grounds, a breach of Section 4 or 5 or of the law; (b) the law or a competent authority requires it; (c) the User fails to pay amounts due; (d) the User's use of the Service threatens the security, integrity or availability of the Service or the rights of others; or (e) the User materially breaches any other provision of these Terms.

11.3. The Provider may also discontinue the Service or terminate these Terms for convenience by giving at least 30 days' notice through the Service. In that case, the Provider will refund the unused prepaid balance, excluding promotional credits.

11.4. On termination, the right to use the Service ends; Shipment Data is deleted in accordance with Section 6 and other data in accordance with the Privacy Policy. Sections 4, 5, 6, 9.3, 9.4, 9.5, 9.6, 10, 12 and 14 survive termination.

12. Governing law and jurisdiction

12.1. These Terms and all relations arising out of or in connection with them, including non-contractual relations, are governed by the substantive and procedural law of Ukraine, without regard to its conflict-of-laws rules.

12.2. The parties shall first try to settle any dispute by negotiation. A claim must be sent to the Provider in writing using the contact details in Section 15; the Provider will respond within 30 days.

12.3. Any dispute that is not settled by negotiation shall be resolved by the competent courts of Ukraine.

12.4. If the User is a consumer, this Section does not deprive the User of the protection of the mandatory provisions of the law of the country of the User's habitual residence, nor of the right to bring proceedings in the courts of that country where that law so provides.

13. Changes to the Service and to the Terms

13.1. The Provider may modify, add or remove functions of the Service at any time.

13.2. The Provider may amend these Terms by publishing a new version on this page with a new effective date. Material changes are announced in the Service at least 14 days before they take effect, except changes required by law or made to address security risks, which may take effect immediately. By continuing to use the Service after the changes take effect, the User accepts them; a User who does not agree must stop using the Service.

14. General provisions

14.1. Force majeure. The Provider is not liable for any failure or delay caused by circumstances beyond its reasonable control, including martial law, hostilities, missile and drone attacks, power outages, failures of communication networks or data centres, cyberattacks, decisions of public authorities, natural disasters and epidemics.

14.2. These Terms, together with the Privacy Policy and the tariffs shown in the Service, are the entire agreement between the parties regarding the Service. Discussions, representations or understandings before acceptance of these Terms, whether oral or written, create no rights or obligations unless included in these Terms or in a separate written agreement signed by the Provider. If a separate agreement is concluded with a User, Section 9 applies unless that agreement expressly excludes or amends it by reference.

14.3. If any provision of these Terms is held invalid or unenforceable, the remaining provisions stay in full force, and the invalid provision is replaced by a valid one that comes closest to its purpose.

14.4. A failure of the Provider to enforce any right is not a waiver of that right.

14.5. The User may not assign or transfer its rights and obligations under these Terms without the Provider's prior written consent. The Provider may assign them to a successor in a reorganisation, merger or transfer of the business, or to another entity that continues to operate the Service.

14.6. Notices to the User may be given through the Service or sent to the email address of the User's account. Notices to the Provider must be sent using the contact details in Section 15.

14.7. These Terms are published in several languages. In the event of any discrepancy, the English version prevails.
